General

These terms are provided to clarify what Rabitat Creative Habitat provides and to explicitly explain our business terms and work ethic. As this is a live document you should always monitor this for changes if you have any services or business with Rabitat Creative Habitat.

All prices quoted on this site includes VAT and is subject to change as custom elements are requested by the client.

Correspondence Agreement

In the case of absence by the client (by phone or email) or any communication over a two week period, the client will forfeit the already paid 50% and will be re-quoted for the full amount.

Standard rates

In order to simplify the costing unless otherwise stated, Rabitat Creative Habitat has a companywide standard rate.

Standard rate will be quoted in many areas of the website, and always refer to this standard rate. Current standard rate @ R375.00 per hour.

Payment

The client must pay us using EFT to our bank account provided on your invoice or statement. It is your responsibility to provide the proof of payment and supply the correct reference so that we may allocate payment correctly.

This not only ensures that your services is not disrupted but greatly simplifies our administration.

Website Maximum Draft Builds

Rabitat Creative Habitat will create a maximum of 3 draft/concept website design for the client during the development of the client website before online launch. After online launch any changes will be charged as a new addition to the current website build and quoted accordingly.

A draft website will be created for the client on initial website request. Any changes requested by the client will be limited to 3 written documents of request where everything the client requires must be included.

This includes but is limited to: layout of website; current total number of pages of the website; functionality of the website; column and grid layout on each page of the website; colour palette of the website; fonts and text format used on the website; total number of images on the website; total amount of wording of the website; navigation of the website; downloads of the website; redirected links of the website; contact information of the website.

Web Development

Unless explicitly quoted and invoiced as such, Rabitat Creative Habitat will not be held reliable or responsible for the content of your website. It remains the responsibility of the client to create their own content unless stated otherwise. This quote is based on supplied content or the standard hourly rate as determined by Rabitat Creative Habitat

3rd Party Hosting

Rabitat Creative Habitat prefers hosting at Hetzner. In the case that a client has a current host, the monthly price will only be for maintenance and support and the client will be responsible for the monthly cost of hosting at their respective current host.

Should the client wish to transfer from host, Rabitat Creative Habitat will facilitate the process accordingly for the sum of R600 paid in full..

Maintenance and Support Agreement

This agreement includes Web page maintenance to regular Web pages (over a 12 month period), Billed from R200.00 per month baseline.

The Maintenance and Support Fee is excluded from initial quote, the contract will be provided and must be paid alongside the initial quote fee.

This includes insuring your website stays online 99%* of the time and unchanged unless requested by the client. Changed requested will be processed and an estimated time of completion will be sent to the client along with a document outlining the changes.

Rabitat Creative Habitat provides 2 hour offline monthly support if you need to update/change any of the Text and Imagery, Limited to only Text and Imagery unless requested by the client and will be billed according to standard rates. If the client requests any additional changes to be made to the website (e.g. an extra page or additional content on a page), a standalone addition to website quote will be constructed by Rabitat Creative Habitat and sent to the client. The standalone addition to website quote must be paid in full before the requested changes or update work will be done. Any changes or updates requested must be complied in an email and sent to support@rabitat.co.za

The client hereby agrees to the 12 month Maintenance and Support Agreement agreed upon amount per month for 12 months from start of contract to be paid to the designated bank account. After the 12 month Maintenance & Support Agreement contract is completed the client may choose to continue the contract, the Rabitat Creative Habitat team will contact the client to sign up for another 12 month Maintenance & Support Agreement Contract.

If the client fails to make a payment within 2 weeks of due payment date, he/she will be prosecuted according to the law and fined a 10% payable fine of the respective due payment.

Changes to Text and Imagery Requested by Client on Maintenance & Support Agreement Contract

Changes to Submitted Text.

Please send us your final text in a fully compiled in a document stating exactly the page and where under what heading or paragraph the new submitted text must be displayed. Time required to make substantive changes to the client’s submitted text after the Web pages have been constructed will be additional, billed at the hourly rate.

Changes to Submitted Imagery

Please send us your final images in a fully compiled in a document stating exactly the page and where under what heading or paragraph the new submitted images must be displayed. Time required to make substantive changes to the client submitted images after the Web pages have been constructed will be additionaly billed at the standard rate

General Usage

Acceptable use policy of Rabitat Creative Habitat is subject to the acceptable and use policies of Internet Solutions and the WWW consortium in addition to other related acceptable usage as described in this document.

Cancellation

All services with Rabitat Creative Habitat may be cancelled with 1 calendar month prior notice. (Notice must be received by email).

Rabitat Creative Habitat non-disclosure agreement

Rabitat Creative Habitat agrees that the all the information disclosed by the client (you) including such information disclosed in writing, orally or by inspection of client’s (your) property, relating to (without limitation) the company’s prototypes, samples, technical data, trade secrets, know-how, actual and anticipated research, developments or products, product plans, services, software, inventions, processes, discoveries, formulas, architectures, concepts, ideas, designs, drawings, personnel, customers, markets, marketing plans, distribution methods, financial information, sales or programming matter, compositions, drawings, diagrams, computer programs, studies, work in process, visual demonstrations, manufacturing plans, confidential information disclosed to the company by third parties and other data, whether oral, written, evidence is now of subsequently becomes generally know or available by publication, commercial use or otherwise, through no fault of Rabitat Creative Habitat.

Rabitat Creative Habitat agrees to use the confidential information solely for the purpose to use all possible means to maintain the confidential information in strict confidence and at least those measures that it employs for the protection of its own confidential information, but in any event not less than a reasonable degree of care to disclose confidential information only to Rabitat Creative Habitat employees who are required to have the information to perform their duties on behalf of the client (you)

TERMS OF CONTRACT with RABITAT

  1. Payment Schedule: 50% (non-refundable) of whole Quote to be paid on start of website development and 50% upon completion.
  2. Cancellation Fees: In the event of Cancellation, upon cancellation all rights to the website revert to Rabitat and all original art must be returned, including sketches, comps, or other preliminary materials.
  3. Credits and Promotion: A credit line suitable to the design of the website from Rabitat will be used. Client agrees to pay an additional fifty percent (50%) of the total fee, excluding expenses in the event where they specifically request the removal of the credit line. Rabitat reserves the right to include screen shots or example links to the completed work in Rabitat’s Portfolio.
  4. Preliminary Works: Designer retains all rights in and to all Preliminary Designs. Client shall return all Preliminary Designs to Rabitat within thirty (30) days of completion of the project and all rights in and to any Preliminary Designs shall remain the exclusive property of Rabitat.
  5. Permissions and Releases: The Client agrees to indemnify and hold the Rabitat harmless against any and all claims, costs, and expenses, including attorney's fees, due to materials included in the Design at the request of the Client for which no copyright permission or privacy release was requested, or for which uses exceed the uses allowed pursuant to a permission or release.
  6. Miscellaneous: This Agreement shall be binding upon the parties, their heirs, successors, assigns, and personal representatives. This Agreement constitutes the entire understanding of the parties. Its terms can be modified only by a written document or email signed by both parties, except that the Client may authorize expenses or revisions in written form of email. Any dispute arising out of this agreement will be resolved by negotiation between the parties. If they are unable to resolve the dispute, either party be subject to law. A waiver of a breach of any of the provisions of this Agreement shall not be construed as a continuing waiver of other breaches of the same or other provisions.

This Agreement must be signed and returned before Rabitat can schedule or begin this job.
